Modanoa, LLC ("Modanoa," "we," "us," or "our") is a New Jersey limited liability company that provides a cloud-based platform for private learning centers. This Privacy Policy explains how we collect, use, disclose, and protect information when you use our platform, website, and related services (collectively, the "Service"). This Privacy Policy applies to all users of the Service, including learning center directors and administrators ("Customers"), teachers and staff ("Authorized Users"), and parents, guardians, and other individuals who receive communications or access information through the Service ("End Users"). By using the Service, you agree to the practices described in this Privacy Policy. If you do not agree, please do not use the Service.

1. Information We Collect

We collect information provided directly by Customers and Authorized Users, including account registration information (name, email address, phone number, learning center name, and business address), student records (names, enrollment details, class assignments, attendance records, and performance data including test scores, homework grades, participation notes, and teacher comments), parent and guardian contact information, billing and payment information, and teacher and staff information. When End Users interact with the Service, we may collect contact information provided during registration or opt-in, communication preferences including SMS consent and opt-out requests, and messages or responses sent through the Service. We also automatically collect technical information including device and browser information, log data (IP address, access times, pages viewed, and referring URLs), usage data (features used, actions taken, and session duration), and information from cookies and similar tracking technologies. We may also receive information from third-party service providers such as SMS delivery confirmations and error reports from our messaging infrastructure provider (currently Twilio, Inc.).

2. How We Use Information

We use the information we collect to provide and operate the Service, including attendance tracking, performance management, parent communication, and billing; to send transactional and operational SMS notifications to End Users who have provided consent; to manage Customer accounts, authenticate users, process payments, and provide customer support; to analyze usage patterns, diagnose technical issues, and improve the Service; to send service-related notices, updates, security alerts, and administrative messages; to enforce our Terms of Service and comply with legal obligations; and to create anonymized, aggregated data for benchmarking, product development, and research. Aggregated data does not identify any individual.

3. SMS Communications and Phone Numbers

End User phone numbers are provided to the Service by the Customer for the purpose of sending operational communications. We use these phone numbers solely to deliver SMS notifications on behalf of the Customer. SMS notifications are only sent to End Users who have provided prior express consent; we maintain records of consent including timestamps and the disclosure presented at the time of opt-in. End Users may opt out at any time by replying STOP to any message or by contacting the learning center directly, after which no further messages will be sent unless new consent is obtained. We retain records of SMS messages sent through the Service, including the recipient phone number, message content, timestamp, and delivery status, for compliance, troubleshooting, and customer support purposes. SMS messages are transmitted through Twilio, Inc., which processes phone numbers and message content in accordance with its own privacy practices (https://www.twilio.com/legal/privacy). We do not sell, rent, or share End User phone numbers with third parties for marketing or advertising purposes. Mobile information will not be shared with third parties/affiliates for marketing/promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

4. How We Share Information

We do not sell personal information. We share information with third-party service providers who perform services on our behalf, including cloud hosting, SMS delivery (Twilio), payment processing, and analytics; these providers are contractually obligated to use information only for the purposes of providing services to us. Customer Data is accessible to the Customer and its Authorized Users as necessary to operate the learning center — for example, a director can view all student records, and a teacher can view records for students in their assigned classes. The Service shares certain student information with End Users (parents and guardians) as directed by the Customer, including attendance records, performance data, and other updates. We may disclose information if required by law, regulation, legal process, or governmental request. In the event of a merger, acquisition, reorganization, bankruptcy, or sale of assets, information may be transferred as part of the transaction, and we will notify affected Customers before their information becomes subject to a different privacy policy. We may also share information with third parties when we have obtained explicit consent from the relevant individual.

5. Data Retention

We retain Customer Data for as long as the Customer's account is active or as needed to provide the Service. Upon termination of a Customer's account, Customer Data will be retained for thirty (30) days to allow for data export, after which it will be deleted in accordance with our data retention schedule. We retain SMS message logs, consent records, and opt-out records for a minimum of five (5) years to support compliance with the Telephone Consumer Protection Act and related regulations. Aggregated, anonymized data that does not identify any individual may be retained indefinitely for analytics and product improvement purposes. We may retain certain information for longer periods if required by law, to resolve disputes, or to enforce our agreements.

6. Data Security

We implement commercially reasonable administrative, technical, and physical safeguards to protect information against unauthorized access, alteration, disclosure, or destruction. These measures include encryption of data in transit using TLS/SSL, encryption of sensitive data at rest, access controls that limit data access to authorized personnel based on role and necessity, regular security assessments and monitoring, and secure cloud infrastructure provided by reputable hosting providers. No method of transmission over the internet or electronic storage is completely secure. While we strive to protect your information, we cannot guarantee absolute security.

7. Children's Privacy

The Service is designed for use by learning center directors, teachers, and parents — not by children directly. We do not knowingly collect personal information directly from children under the age of 13. Student data (including names, grades, and performance information) is submitted to the Service by Customers, not by children themselves. Customers are responsible for ensuring that they have obtained any required parental consent before submitting student information to the Service. If we become aware that we have inadvertently collected personal information directly from a child under 13 without appropriate consent, we will take steps to delete that information promptly. 8. Your Rights and Choices

Customers and Authorized Users may access, update, or correct their account information at any time through the Service, and may request deletion of their account by contacting sean@modanoa.com; upon account deletion, data will be removed in accordance with our data retention policy. If you are a parent or guardian receiving communications through the Service, your information was provided by the learning center your child attends; to access, correct, or request deletion of your personal information, please contact the learning center directly or reach us at sean@modanoa.com. End Users may opt out of SMS notifications at any time by replying STOP to any message or by emailing sean@modanoa.com. You may manage cookie preferences through your browser settings, though disabling cookies may affect the functionality of the Service.

9. State-Specific Privacy Rights

California Residents: You may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to request deletion, the right to opt out of the sale of personal information (we do not sell personal information), and the right to non-discrimination for exercising your rights. Residents of other states with applicable privacy laws (such as Virginia, Colorado, Connecticut, and others) may have similar rights. 10. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not operated by Modanoa. We are not responsible for the privacy practices of third-party services. We encourage you to review the privacy policies of any third-party services you access.

11. International Users

The Service is operated from the United States and is intended for use within the United States. If you access the Service from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States, where data protection laws may differ from those in your jurisdiction. By using the Service, you consent to the transfer of your information to the United States.

12. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. We will notify Customers of material changes by email or through the Service at least thirty (30) days before the changes take effect. The updated policy will be posted on our website with a revised effective date. Your continued use of the Service after the effective date of a revised Privacy Policy constitutes acceptance of the updated terms.
